Senior Officer, Company Secretarial

Objective

To act as a key member of the Company Secretarial Department, serving the following functions: -

  • Provision of support to the Board and Board Committee Members;
  • Provision of administrative support to the Company Secretarial Department;
  • Maintenance of statutory records and the Group’s records; and 
  • Liaison between the internal stakeholders and external professional parties.

What the role is?

  • Provide full range of company secretarial and compliance support for the Group and its subsidiaries.
  • Co-ordinate all Board and Board Committee meetings and trainings.
  • Prepare meeting agendas, papers, minutes and written resolutions.
  • Handle statutory filings with relevant regulatory bodies / government departments in Hong Kong, Bermuda, BVI and other jurisdictions as required.
  • Maintain and update proper statutory records and registers to ensure full compliance with relevant laws.
  • Maintain and update lists of related parties, connected persons and other relevant records as required.
  • Prepare due diligence / Know Your Customer (“KYC”) documentations.
  • Liaise with internal stakeholders and external professional parties.
  • Work closely with external auditor(s) in connection with the annual audit exercise.
  • Maintain effective systems and processes for company secretarial functions.
  • Arrange settlement of invoices and payments for the Company Secretarial Department.
  • Provide full range of administrative support to the Company Secretarial Department.
  • Perform ad-hoc duties as assigned by the supervisor.

What are we looking for?

  • Bachelor’s degree in any disciplines, preferably in corporate governance, law and accounting.
  • Associate member of Hong Kong Chartered Governance Institute (“HKCGI”).
  • At least 6 years of relevant company secretarial experience, gained from reputable financial institutions, sizable Hong Kong listed companies, or reputable professional firms.
  • Sound knowledge of the Hong Kong Companies Ordinance, Hong Kong Listing Rules, and Insurance Ordinance.
  • Experience in preparing meeting minutes for Board and Board Committee meetings.
  • Detail-oriented and able to work independently with minimum supervision.
  • A strong team player with a strong sense of responsibility and accountability.
  • Self-motivated, highly committed, analytical, and possessing good problem-solving skills.
  • Strong interpersonal, communication, time management and project management skills.
  • Mature, meticulous, proactive, and well organized with excellent file management skills.
  • Proficiency in computer applications and office systems.
  • Excellent command of written and spoken English and Chinese, including Mandarin.
